Program and Budget. City shall provide full information, including a program which shall set forth City's objectives, schedule, constraints, budget with reasonable contingencies, and other necessary design criteria.
Program and Budget. The CLIENT shall provide full information stating the CLIENT’s objectives, schedule, budget with reasonable contingencies and necessary design criteria so that Consultant is able to fully understand the project requirements.
Program and Budget. City will provide all relevant information reasonably required for Consultant to perform its obligations herein, including but not limited to City's objectives, schedule, constraints, budget with reasonable contingencies, and other necessary design criteria for a Task Order.
Program and Budget. If a Participant makes a timely submission to the Management Committee pursuant to SUBSECTIONS 9.4(A), (B) or (C), then the Manager working with the other Participant shall seek for a period of time not to exceed twenty (20) days to develop a complete Program and Budget acceptable to both Participants. The Manager shall then call a Management Committee meeting in accordance with SECTION 7.3 for purposes of reviewing and voting upon the proposed Program and Budget.
Program and Budget. (a) The Design Consultant agrees to review the City's program and budget for each assigned project and further agrees, unless it has timely notified the City that the project cannot be accomplished within such budget, to accomplish the project within the intent of the program and established budget. Should the Design Consultant determine that an assigned project cannot be accomplished within the established budget, the Design Consultant shall immediately notify the City, in writing, so that the project scope or project budget can be reviewed and modified if necessary.
Program and Budget. 3.5 The Exploration Program and Budget in respect of the first (1st) year of the Earn-in Schedule (the "Initial Exploration Program and Budget") will be prepared by Ivanhoe, as soon as reasonably practicable after the Effective Date, in good faith having regard to the Existing Data and generally accepted mining industry practice and will:

If a Participant makes a timely submission to the Management Committee pursuant to section 11.3(b) or (c), then the Management Committee shall meet to consider and develop a Program and Budget acceptable to the Participants. If the Management Committee does not unanimously approve a proposed Program and Budget within 30 days after the Manager's receipt of a notice pursuant to section 11.3(b) or (c), a proposed Program and Budget may be approved by a majority vote of the Management Committee. If a Program and Budget is subsequently modified to decrease expenditures by 15% or more from the Program and Budget as originally approved, the non-contributing or partially-contributing Participant, as the case may be, shall have the right to contribute the difference between the amount, if any, already contributed and its full share, based on its Participating Interest prior to the reduction, of the modified Program and Budget and thereby avoid any reduction in its Participating Interest. The Manager shall, at such time as it becomes aware that expenditures for the Budget will be 75% or less than that as originally adopted, notify the non-contributing or partially-contributing Participant. The noncontributing or partially-contributing Participant may within 30 days thereafter notify the Manager of its election to contribute to its full share of the modified Program and Budget. Such notice shall include full payment of the non-contributing or partially-contributing Participant's share of the modified Program and Budget to the date of the payment. Notwithstanding any other provision of this Agreement, any proposal by the Manager to shutdown Operations when the forecasted losses of the Venture for the one year period following the proposed shutdown are less than the closure and holding costs of the Venture for the same period shall require the approval of the Management Committee.

If a Participant makes a timely submission to the Management Committee pursuant to Section 9.4(b) or (c), then the Management Committee shall seek to develop a Program and Budget acceptable to the Participants; provided, however, that except for an interim Program and Budget, the Management Committee shall make the final determination of the Program and Budget notwithstanding the inability to accommodate an individual Participant's objections.

If a Participant makes a timely submission to the Management Committee pursuant to section 10.3(b) or (c), then the Management Committee shall meet to consider and develop a Program and Budget acceptable to the Participants. If the Management Committee does not unanimously approve a Program and Budget or a Non-Manager's Program and Budget within 30 days after the Manager's receipt of a notice pursuant to section 10.3(b) or (c), a proposed Program and Budget or Non-Manager's Program and Budget may be approved by a majority vote of the Management Committee. If a non-Manager's Program and Budget is not approved or modified and approved by the Management Committee, then the Non-Manager who has proposed the Non-Manager's Program and Budget may submit the matter to arbitration pursuant to Article 15 for determination as to whether such non-approval is reasonable in the circumstances. If a Non-Manager's Program and Budget is approved by the Management Committee, then the same shall be deemed to be a Program and Budget for the purposes of this Agreement.

If the Management Committee does not approve a Program and Budget within 30 days after the Manager's receipt of a notice pursuant to section 10.4(b) or (c), then either of the Participants may submit the matter to arbitration pursuant to Section 15 for determination as to whether such non-acceptance is reasonable in the circumstances. If it is determined that such non-acceptance is not reasonable in the circumstances, then such Program and Budget shall be deemed to be an adopted Program and Budget for the purposes of this Agreement.
