Common use of Company Reporting Requirements Clause in Contracts

Company Reporting Requirements. The Company shall report any conflicts or potential conflicts to the Fund Board and will provide the Fund Board, at least annually, with all information reasonably necessary for the Fund Board to consider any issues raised by such existing or potential conflicts or by the conditions and undertakings required by the Exemptive Order. The Company also shall assist the Fund Board in carrying out its obligations including, but not limited to: (a) informing the Fund Board whenever it disregards Contract Owner voting instructions with respect to variable life insurance policies, and (b) providing such other information and reports as the Fund Board may reasonably request. The Company will carry out these obligations with a view only to the interests of Contract Owners.
