Common use of Company Transaction Costs Clause in Contracts

Company Transaction Costs. No later than three (3) Business Days prior to the Closing Date, the Company shall provide an estimate of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

Company Transaction Costs. No later than three (3) one Business Days Day prior to the Closing Date, the Company shall provide Parent with an estimate of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

No later than three two (32) Business Days prior to the Closing Date, the Company shall provide an estimate of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent Buyer at Closing and shall provide Parent Buyer with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

No later than three (3) Business Days Day prior to the Closing Date, the Company shall provide an estimate detail of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is owed or to be paid at Closingowed any Company Transaction Costs; and (b) the amount owed or to be owed to each such Person; Person and (c) whether such amount will be paid or unpaid as of the bank account and wire transfer information for each such PersonClosing Date.

No later than three one (31) Business Days Day prior to the Closing Date, the Company shall provide an estimate of to Parent the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such PersonPerson (which shall be provided two (2) Business Days prior to the Closing Date).

No later than three four (34) Business Days prior to the Closing Date, the Company shall provide an estimate of to Parent the amount, in the aggregate, of all Company Transaction Costs that are have not been paid prior to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closingowed such amounts; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

Company Transaction Costs. No Not later than three two (32) Business Days prior to the Closing Date, the Company shall provide an estimate of to Purchaser the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent Purchaser at Closing and shall provide Parent Purchaser with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

No later than three two (32) Business Days prior to the Closing Date, the Company shall provide an estimate of the amount, in the aggregate, of all Company Transaction Costs that were previously paid and that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

No later than three two (32) Business Days prior to the Closing Date, the Company shall provide an estimate of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

No later than three (3) Business Days prior to the Closing Date, the Company Seller shall provide an estimate of the amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and shall provide Parent the Buyer with a certificate setting forth (a) the identity of each Person that is to be paid at Closing; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.

Company Transaction Costs. No later than three (3) Business Days prior to the Closing Date, the Company shall provide an estimate of Parent and Merger Subsidiary, pursuant to the Payment Spreadsheet, the maximum amount, in the aggregate, of all Company Transaction Costs that are to be paid or caused to be paid by Parent at Closing and Costs. The Payment Spreadsheet shall provide Parent with a certificate setting set forth (a) the identity of each Person that is to be paid at Closingany Company Transaction Costs; (b) the amount owed or to be owed to each such Person; and (c) the bank account and wire transfer information for each such Person.
