Common use of Company Warranties Clause in Contracts

Company Warranties. Company represents and warrants that (i) Company possesses the legal right and authority to execute and perform this Agreement, and (ii) the execution and performance of this Agreement will not violate any other agreement, commitment or obligation by which Company may be bound, nor are the terms of this Agreement superseded by the terms of any other agreement, and (iii) to the best of its knowledge, Company’s application of its technology to the Vertex Material will not infringe any third party intellectual property rights.

Company represents and warrants that that: (ia) Company possesses it has the legal right full corporate right, power and authority to execute enter into this Agreement and to perform this Agreement, and the acts required of it hereunder; (iib) the execution and performance of its activities under this Agreement will not violate any other agreementapplicable United States federal, commitment state or obligation by which Company may be boundlocal law or regulation; (c) it shall provide the Services in a commercially reasonable manner, nor are the terms of this Agreement superseded by the terms of any other agreementconsistent with industry standards, including security standards; and (iiid) to the best of its Company’s knowledge, Company’s application of its technology to the Vertex Material will Services and Company eStore provided hereunder do not infringe any United States Intellectual Property Rights of any third party intellectual property rightsparty.
