Thresholds. The threshold of a sample to constitute a positive result alcohol, drugs, or their metabolites is contained in the standards of one of the programs listed in MN Statute §181.953, subd 1. The employer shall, not less than annually, provide the unions with a list or access to a list of substances tested for under this LOA and the threshold limits for each substance. In addition, the employer shall notify the unions of any changes to the substances being tested for and of any changes to the thresholds at least thirty (30) days prior to implementation.

Thresholds. Each Restricted Fund has one or more thresholds at which point no further amounts may be allocated to that division. Compliance with a threshold is verified whenever there is a transaction initiated which is subject to such threshold (premium payments, transfers, withdrawals). A threshold is applied to the total Accumulation Value of each Restricted Fund. Thresholds may be changed by the Company for new premiums, transfers or withdrawals by Restricted Fund upon 30 day notice.

(iii) Minimum Transfer Amount means, with respect to Party A, and Party B, GBP 50,000; provided, that if (1) an Event of Default has occurred and is continuing in respect of which Party A or Party B is the Defaulting Party, or (2) an Additional Termination Event has occurred in respect of which Party A or Party B is an Affected Party, the Minimum Transfer Amount with respect to Party A or Party B, as applicable, shall be zero.

Thresholds. No Seller shall have any obligation to indemnify the Buyer Indemnitees pursuant to Sections 9.02(a)(i) (other than with respect to any breach of the Fundamental Representations or the special warranty contained in Section 3.01(c)) unless and until the Buyer Indemnitees have suffered aggregate Liabilities (A) with respect to an individual Claim thereunder, in an amount that exceeds the Individual Claim Threshold, and (B) with respect to all Claims thereunder, together with all Title Defect Amounts determined pursuant to Article III (regardless of whether the Purchase Price was adjusted prior to Closing for such Title Defects under Section 2.04 and Article III) that, in the aggregate, exceed the Aggregate Threshold. (ii) If a fixed-term contract of more than 12 months is contemplated, use the total estimated value of the acqui- sition plus the estimated residual value of the leased equipment at the conclu- sion of the contemplated term of the contract. (iii) If an indefinite-term contract is contemplated, use the estimated monthly payment multiplied by the total number of months that ordering would be possible under the proposed contract, i.e., the initial ordering pe- riod plus any optional ordering periods. (iv) If there is any doubt as to the contemplated term of the contract, use the estimated monthly payment multi- plied by 48. (2) The estimated value includes the value of all options. (3) If, in any 12-month period, recur- ring or multiple awards for the same type of product or products are antici- pated, use the total estimated value of these projected awards to determine whether the WTO GPA or an FTA ap- plies. Do not divide any acquisition with the intent of reducing the esti- mated value of the acquisition below the dollar threshold of the WTO GPA or an FTA.
