Common use of Company's Compliance Certificate Clause in Contracts

Company's Compliance Certificate. Together with each delivery of financial statements of the Companies and their Subsidiaries pursuant to subsections 8.1(a) and 8.1(b) above, the Holding Company shall deliver to the Purchasers a fully and properly completed compliance certificate (in the form of Exhibit L hereto or in such other form and substance satisfactory to the Purchasers) signed by the Holding Company's chief executive officer or chief financial officer.

Company's Compliance Certificate. Together with each delivery of financial statements of the Companies Company and their its Subsidiaries pursuant to subsections 8.1(aSections 8.01 (a) and 8.1(b8.01(b) above, the Holding Company shall deliver or cause to the Purchasers be delivered a fully and properly completed compliance certificate (in substantially the form of attached hereto as Exhibit L hereto D (or in such other form and or substance as shall be satisfactory to the Purchasers) and referred to as a "Compliance Certificate") signed by the Holding Company's chief executive officer or chief financial officerofficer of the Company.

Together with each delivery of quarterly and annual financial statements of the Companies Company and their its Subsidiaries pursuant to subsections Sections 8.1(a) and 8.1(b) above, the Holding Company shall deliver or cause to the Purchasers be delivered a fully and properly completed compliance certificate (in substantially the form of attached hereto as Exhibit L hereto or in such other form H and substance satisfactory referred to the Purchasersas a "COMPLIANCE CERTIFICATE") signed by the Holding Company's chief executive officer or chief financial officerofficer of the Company.
