Company’s Control and Authority. (1) The Company and the Plan Sponsor agree that while this Agreement is in effect, the Company and its delegates shall have exclusive authority to provide the Plan with the services listed in the attachments and that during such time the Plan Sponsor shall not undertake on its own nor shall it authorize or allow any other person or entity to provide any of those services without the prior written consent of the Company. (2) The Company and the Plan Sponsor agree that the Company shall have no liability under this or any other agreement between the said Parties for any payment of benefits or other activity that violates the provisions of subsection 8.B.1 above.
