Duties and Authority. Executive shall serve as the Executive Vice President and Chief Financial Officer of the Company, with those authorities, duties and responsibilities customary to that position and such other authorities, duties and responsibilities as the Board of Directors of Parent (the "Board") or the Company's President and Chief Executive Officer may reasonably assign the Executive from time to time. The Executive shall use his best efforts, including the highest standards of professional competence and integrity, and shall devote substantially all his business time and effort, in and to his employment hereunder, and shall not engage in any other business activity which would conflict with the rendition of his services hereunder, except that the Executive may hold directorships or related positions in charitable, educational or not-for-profit organizations, or directorships in business organizations if approved by the President and Chief Executive Officer, and make passive investments, which do not interfere with the Executive's day-to-day acquittal of his responsibilities to the Company.
Duties and Authority. In addition to the foregoing specifically enumerated duties and authority, subject to Section 4.3(c), the Authorized Officers will perform such other duties and may exercise such further authority as the Board may determine or may be assigned to them by any superior Authorized Officer.

Employee agrees, unless otherwise specifically authorized by the Company, to devote substantially all of his business time and effort to his duties for the profit, benefit and advantage of the business of the Company, except that Employee may serve on the boards of directors of other business corporations that have no business relationship with the Company and which do not compete with the Company. In performing his duties hereunder, Employee shall have the authority customarily held by others holding positions similar to those assigned to Employee in similar businesses, subject to the general and customary supervision of the Company's Board of Directors and Chief Executive Officer.

X. Xxxx is the chief executive officer of the City and shall faithfully perform the duties as prescribed in the job description as set forth in the City's charter and ordinances and as may be lawfully assigned by the City and shall comply with all lawful City Council directives, state and federal law, City policies, rules, and ordinances as they exist or may hereafter be amended.
B. Specifically, it shall be the duty of Xxxx to employ on behalf of the City all other employees of the City, other than the City Clerk and City Attorney each of which serve at the pleasure of the City Council, consistent with the policies of the City Council and the ordinances and charter of the City. C. It shall also be the duty of Xxxx to direct, assign, reassign and evaluate all of the employees of the City consistent with policies, ordinances, charter, state and federal law. Except as provided by Section 306 of the personnel manual.
D. It shall also be the duty of Xxxx to organize, reorganize and arrange the staff of the City and to develop and establish internal regulations, rules, and procedures which Xxxx xxxxx necessary for the efficient and effective operation of the City consistent with the lawful directives, policies, ordinances, state and federal law. E. It shall also be the duty of Xxxx to accept all resignations of employees of the City consistent with the policies, ordinances, state and federal law, except Xxxx 's resignation which must be accepted by the City Council. Except as provided by Section 306 of the personnel manual.
X. Xxxx shall perform the duties of city manager of the City with reasonable care, diligence, skill, and expertise.
G. All duties assigned to Xxxx by the City Council shall be appropriate to and consistent with the professional role and responsibility of Xxxx.
X. Xxxx or a designee shall attend, and shall be permitted to attend, all meetings of the City Council, both public and closed.
I. The City Council, individually and collectively, shall refer in a timely manner all substantive criticisms, complaints and suggestions called to their attention to Xxxx for study and/or appropriate action.

Duties and Authority. The Employer agrees to employ Employee as City Manager to perform the functions and duties specified in the Dade City Charter, Code of Ordinances of the City of Dade City, and job description, to perform all legally permissible and proper duties and functions and other duties and responsibilities as the Employer may from time to time assign.
Duties and Authority. (a) During the Term of Employment, Executive shall serve as Bank's Executive Vice President and Chief Credit Officer. Executive shall perform in a professional manner the authorized and customary duties for the positions and such other reasonable duties and responsibilities as the Board of Directors of Bank and/or Company (the term "Board of Directors" as used in this Agreement shall mean the Board of Directors of Bank, unless specifically stated otherwise) may assign to Executive from time to time, in writing, which duties shall include, but not be limited to the following:
(i) Executive shall oversee the daily operation of Bank and all subsidiary activities related to and controlled by Bank;
(ii) Executive shall carry out and implement all proper directions and instructions of the Board of Directors that conform with reasonable and sound banking practices;
(iii) Executive shall use his best efforts to operate Bank so as to meet the growth and financial projections and budgets established and approved by the Board of Directors, assuming such projections and budgets shall be reasonable and realistically attainable under the conditions which then exist both in bank and local and national financial markets; and
(iv) Executive shall use his best efforts to avoid any action that might materially damage, harm or discredit the reputation of Bank, its shareholders, or it's Board of Directors.
(b) Notwithstanding the provisions of Section 2(a), the duties and responsibilities of Executive may be changed and modified from time to time by Bank at its discretion. Upon changes and modifications to Executive's duties and responsibilities, Executive's employment with Bank shall continue to be governed by the terms of this Agreement.
(c) During the Term of Employment, Executive shall devote Executive's best efforts and entire productive time, ability and attention to the business operations of Bank and Company, and shall not, without the written consent of Bank or Company, directly or indirectly, alone or as a partner, officer, director, stockholder, employee, or consultant of any other person, entity, association, agency, organization, or institution, engage in any other business or profession which would necessitate Executive's giving any portion of his time and effort to such activity.
