Common use of Company’s Control and Authority Clause in Contracts

Company’s Control and Authority. (1) The Company and the Client agree that while this Contract is in effect the Company and its delegates shall have exclusive authority to provide the Plan with the services listed in the attached Appendices, and that during such time the Client shall not undertake on its own nor shall it authorize or allow any other person or entity to provide any of those services without the prior written consent of the Company. (2) The Company and the Client agree that the Company shall have no liability under this or any other agreement between the said parties with respect to any payment of benefits or other act that violates the provisions of subsection 8.B.1 above.
