Common use of Compelled Disclosure Clause in Contracts

Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

Compelled Disclosure. Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled by law to do so, provided the Receiving Party gives the Disclosing Party prior written notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's ’s cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Information.

Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled if it is required by law to do so, provided the Receiving Party gives the Disclosing Party reasonable prior notice of the compelled such disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s 's Confidential Information as part of a civil proceeding to which the Disclosing Party is a partymember, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that such Confidential Information.

The Receiving Party Recipient may disclose Confidential Information of the Disclosing Party to the extent if it is compelled by law to do so, ; provided that the Receiving Party Recipient gives the Disclosing Party prior notice of the such compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Confdential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that Confidential Confdential Information.

Compelled Disclosure. The Disclose of Confidential Information to a Receiving Party may disclose Confidential Information of the Disclosing Party to the extent compelled only be allowed when obligated by law to do so, provided the Receiving Party gives the Disclosing Party prior and only when proper legal documentation of notice of the compelled disclosure (to the extent legally permitted) and reasonable assistance, is presented. If at the Disclosing Party's cost, if any time the Disclosing Party wishes to contest the disclosuredisclosure it will be at the Disclosing Party's full cost. If the Receiving Party is compelled by law to disclose the Disclosing Party’s Confidential Information as part of a an obligation to abide by any law or regulation, criminal action, or civil proceeding to which action and the Disclosing Party is a partyparty of such action, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party reasonable costs for its reasonable cost of compiling and providing secure protected access to that such Confidential Information.

Compelled Disclosure. The Receiving Party may disclose Confidential Information of the Disclosing Party to the extent if it is compelled by law Law to do somake the disclosure, provided the Receiving Party gives the Disclosing Party prior notice of the scope of the compelled disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the disclosure. If the Receiving Party is compelled by law Law to disclose the Disclosing Party’s Confidential Information as part of a civil proceeding to which the Disclosing Party is a party, and the Disclosing Party is not contesting the disclosure, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing secure access to that such Confidential Information.
