Common use of Compensation; Indemnification Clause in Contracts

Compensation; Indemnification. Each Xxxxxxx Director shall be entitled to the same reimbursement, advancement, exculpation and indemnification in connection with his or her role as a director as the other members of the Board, as well as reimbursement for documented, reasonable, out-of-pocket expenses incurred in attending meetings of the Board or any committee of the Board of which such Xxxxxxx Director is a member, if any, in each case to the same extent as the other members of the Board. Each Xxxxxxx Director who is not an employee of the Company shall be also entitled to any retainer, equity compensation or other fees or compensation paid to the non-employee directors of the Company for their services as a director, including any service on any committee of the Board.
