The Compensation Limitations clause sets boundaries on the amount or types of compensation that may be paid under an agreement. COMPENSATION LIMITATIONS. Agency or Broker-Dealer shall pay cash or non-cash compensation for Product sales: (i) only to any person or entity that is appropriately licensed and appointed to sell Products; (ii) which are accepted by Company; and (iii) if such payment is in accordance with applicable laws, regulations, NASD or other self-regulatory organization rules and Company Rules.
COMPENSATION LIMITATIONS. The maximum aggregate number of shares of Common Stock that may be issued to any Eligible Person during the term of this Plan pursuant to Qualifying Options and Qualifying SARs may not exceed the Share Limit. The maximum aggregate number of shares of Common Stock that may be issued to any Eligible Person pursuant to Performance-Based Awards granted during the 162(m) Term (other than cash awards granted pursuant to Section 5.1.6 and Qualifying Options or Qualifying SARs) may not exceed the Share Limit. The maximum amount that may be paid to any Eligible Person pursuant to Performance-Based Awards granted pursuant to Sections 5.1.6 (cash awards) during the 162(m) Term may not exceed $1,000,000.
COMPENSATION LIMITATIONS. Agency will not pay or share commissions with any person or entity that is not appropriately licensed and/or appointed to sell Products, if such action would violate any applicable law, rule, or regulation.
COMPENSATION LIMITATIONS. For every additional position in the rank of Detective ▇▇▇ and IIC, over the number of twelve (12), the City shall have the right to make one
(1) additional temporary transfer pursuant to this Article. For the purposes of the foregoing, the term "position" shall be defined as those positions of Detective IIB and IIC authorized by the City. All positions covered by this Article including, but not limited to, Metro Officers, and SOS personnel shall be counted in determining the number of temporary transfer positions available. If additional temporary short term plainclothes assignments are necessary because of an emergency, unusual demand for service, or temporary shortage of personnel due to injury or illness, the employer may assign employees to work such assignments for a thirty (30) day period without compliance with Sections 2 and 3. If additional extensions are necessary, a written notice must be given to the Union and in the absence of an objection, an additional thirty (30) day extension shall be granted. If objection is made within three (3) days of the notice, a special meeting shall be scheduled to resolve this issue.
COMPENSATION LIMITATIONS. Notwithstanding anything in this Agreement to the contrary, I acknowledge that (a) no payment or benefit hereunder will be provided to me if any such payment or benefit violates or would violate any applicable Compensation Limitations (as defined below); (b) Associated may amend this Agreement, including the Exhibits hereto, without my consent, to the extent it determines necessary to comply with any applicable Compensation Limitations; and (c) I will promptly, upon written demand, return to Associated any such amount that I have received from Associated that was in violation or that would violate the Compensation Limitations. “Compensation Limitations” shall mean any compensation limitations that may become applicable to Associated or me pursuant to laws or other rules, regulations or written guidance issues pursuant to the authority of the Federal Reserve Board, the Office of the Comptroller of the Currency, the Federal Deposit Insurance Corporation, or other applicable federal or state regulatory agency.
COMPENSATION LIMITATIONS. In consideration of the provision of Services by ▇▇▇▇▇▇▇▇▇, CBH shall pay to ▇▇▇▇▇▇▇▇▇ the contract amount of four hundred and forty-eight thousand and nine hundred and fifty- two dollars $448,952. (the “Contract Amount”). This payment is subject to adjustment by amendment (“change order”) to this Agreement if changes in the Project components, schedule, or other details of Project Design are requested by CBH. There shall be no increase in the Contract Amount without the express prior written authorization by CBH.
COMPENSATION LIMITATIONS. In any Plan Year in which the ------------------------ Plan is top heavy, the Advisory Committee shall take into account only the first $200,000 (or such larger amount as the Commissioner of Internal Revenue may prescribe) of a Participant's annual Compensation (as defined in Section 1.10) in determining benefits under this Plan. However, the Advisory Committee shall not reduce a Participant's Accrued Benefit at the time this limitation becomes effective under the Plan. For purposes of determining the minimum normal retirement pension under Section 17.01, the Advisory Committee shall calculate a Participant's Average Annual Compensation by taking into account the first $200,000 (or such larger amount as the Commissioner of Internal Revenue may prescribe) of Compensation as defined in Section 3.06(b), by disregarding Plan Years in which the Participant did not earn a Year of Service, and by taking the highest average over five (5) consecutive Plan Years (or a lesser number of consecutive Plan Years specified in Section 1.07).
COMPENSATION LIMITATIONS. The Borrower will not pay any wages, salary, bonus, commission or other compensation for services in excess of the reasonable value to the Borrower of such services.

COMPENSATION LIMITATIONS. In consideration of Rock of Ages' agreements and obligations in this agreement, Keystone agrees that it will not pay, directly or indirectly, G. Thom▇▇ ▇▇▇▇▇▇▇ ▇▇ Geor▇▇ ▇. ▇▇▇▇▇▇▇, ▇▇I, any salary, bonus, expense reimbursement, or other compensation payment for services rendered of any kind for any purpose without the prior written consent of Rock of Ages.
