COMPENSATION OF SUB. ADVISER The Investment Adviser will pay the Sub-Adviser as compensation for providing services in accordance with this Agreement those fees as set forth in Appendix B.B. These fees will be in effect as of September 1, 2007. In addition, effective January 1, 2008, the Investment Adviser shall be responsible for expenses incurred by the Sub-Adviser with respect to proxy voting execution, advice and reporting.
