Retention of Sub-Adviser Sample Clauses

Retention of Sub-Adviser. Subject to the Trust's obtaining the initial and periodic approvals required under Section 15 of the Act, the Adviser may retain one or more sub-advisers, at the Adviser's own cost and expense, for the purpose of managing the investments of the assets of one or more Funds of the Trust. Retention of one or more sub-advisers shall in no way reduce the responsibilities or obligations of the Adviser under this Agreement and the Adviser shall, subject to Section 11 of this Agreement, be responsible to the Trust for all acts or omissions of any sub-adviser in connection with the performance of the Adviser's duties hereunder.

Retention of Sub-Adviser. Subject to obtaining the initial and periodic approvals required under Section 15 of the 1940 Act, Manager may retain one or more sub-advisers at Manager’s own cost and expense for the purpose of furnishing one or more of the services described in Section 1 hereof with respect to Trust or one or more Funds. Retention of a sub-adviser shall in no way reduce the responsibilities or obligations of Manager under this Agreement, and Manager shall be responsible to Trust and its Funds for all acts or omissions of any sub-adviser in connection with the performance or Manager’s duties hereunder.

The retention of a Sub-Adviser shall be at the risk, cost, and expense of the Investment Manager. The retention of a Sub-Adviser shall in no way reduce the responsibilities or obligations of the Investment Manager under this Agreement and the Investment Manager shall be responsible to the Corporation for all acts or omissions of the Sub-Adviser in connection with the performance of the Investment Manager's duties hereunder. The Investment Manager shall pay and shall be solely responsible for the payment of the fees of the Sub-Adviser for the performance of its services for the Fund.
