Common use of Competitive Bid Quote Request Clause in Contracts

Competitive Bid Quote Request. When the Borrower wishes to request offers to make Competitive Bid Loans under this Section 2.3, it shall transmit to the Agent by telex or facsimile a Competitive Bid Quote Request substantially in the form of EXHIBIT B attached hereto (a "Competitive Bid Quote Request") so as to be received no later than 1:00 p.m. (Boston time) two (2) Business Days prior to the requested Drawdown Date, specifying (i) the requested Drawdown Date (which must be a Business Day), (ii) the principal amount of such Competitive Bid Loan (which must be a minimum of $5,000,000 or any greater integral multiple of $1,000,000 and may not exceed the lesser of (A) the Maximum Competitive Bid Amount and (B) the Total Commitment), and (iii) the Interest Period of such Competitive Bid Loan (which may not extend beyond the Revolving Credit Loan Maturity Date). Contemporaneously with the transmission of each Competitive Bid Quote Request, the Borrower shall pay to the Agent, for the Agent's own account, a work fee in the amount of $1,250. The Borrower may request offers to make Competitive Bid Loans for one amount and three Interest Periods in a single Competitive Bid Quote Request.

Competitive Bid Quote Request. When the Borrower wishes to request offers to make Competitive Bid Loans under this Section 2.32.2, it shall transmit to the Administrative Agent by telex or facsimile a Competitive Bid Quote Request substantially in the form of EXHIBIT B attached Exhibit A hereto (a "“Competitive Bid Quote Request"”) so as to be received no later than 1:00 p.m. (Boston time) two (2) on the second Business Days Day prior to the requested Drawdown Date, specifying (i) the requested Drawdown Date (which must be a Business Day), (ii) and the principal amount of such Competitive Bid Loan (which must be a minimum of $5,000,000 10,000,000 or any greater integral multiple of $1,000,000 and may not exceed the lesser of (A) the Maximum Competitive Bid Amount and (B) the Total Commitment), and (iiiii) the Interest Period of such Loan, and accompanied by a Competitive Bid Loan (which may not extend beyond fee of $1,500 payable to the Revolving Credit Loan Maturity Date). Contemporaneously Administrative Agent with the transmission of respect to each Competitive Bid Quote Request, the Borrower shall pay to the Agent, for the Agent's own account, a work fee in the amount of $1,250. The Borrower may request offers to make Competitive Bid Loans for one amount and for up to three Interest Periods in a single Competitive Bid Quote Request. The Borrower shall not submit more than 20 Competitive Bid Quote Requests in any period of twelve consecutive months.

Competitive Bid Quote Request. When the Borrower wishes to request offers to make Competitive Bid Loans under this Section 2.32.9, it shall transmit to the Agent by telex telex, facsimile or facsimile electronic mail a Competitive Bid Quote Request substantially in the form of EXHIBIT B Exhibit D-2 attached hereto (a "Competitive Bid Quote Request") so as to be received no later than 1:00 p.m. (Boston time) two (2) on the second Business Days Day prior to the requested Drawdown Date, specifying (i) the requested Drawdown Date (which must be a Business Day), (ii) the principal amount of such Competitive Bid Loan (which must be a minimum of $5,000,000 or any greater integral multiple of $1,000,000 and may not exceed the lesser of $30,000,000 (A) the Maximum Competitive Bid Amount and (B) the Total Commitmentafter giving effect to all amounts requested), and (iii) the Interest Period of such Competitive Bid Loan (which may not be fewer than ten (10) nor more than ninety (90) days and may not extend beyond the Revolving Credit Loan Maturity Date). Contemporaneously A Competitive Bid fee of $750 shall be payable by the Borrower to the Agent with the transmission of respect to each Competitive Bid Quote Request, Request on the Borrower shall pay to date of the Agent, for the Agent's own account, a work fee in the amount delivery of $1,250such request. The Borrower may request offers to make Competitive Bid Loans for one amount and three Interest Periods in a single Competitive Bid Quote Request.
