Complete Agreement; Amendment; Waiver. This Agreement (together with all Exhibits, the Employment Agreement and the Letter Agreement) embodies the complete agreement and understanding between the parties hereto with respect to the subject matter hereof and, effective as of the Effective Date, supersedes, preempts and nullifies any other prior understandings, agreements or representations by or between the parties hereto, written or oral, which may have related to the subject matter hereof in any way. The Exhibits will be read together with, and will constitute a portion of, this Agreement. Any reference herein to this Agreement will be deemed to include the Exhibits. Any modification or amendment of this Agreement, or additional obligation assumed in connection with this Agreement (including the creation of additional Exhibits), will be effective only if placed in writing and signed by both parties hereto. No course of conduct or failure or delay in enforcing the provisions of this Agreement will affect the validity, binding effect or enforceability of this Agreement.
Complete Agreement; Amendment; Waiver. This Agreement and the Purchase Agreement embody the entire agreement and understanding of the parties hereto with respect to the subject matter hereof, and supersede all prior and contemporaneous agreements and understandings between the parties hereto relating to such subject matter. No supplement, modification or amendment of this Agreement will be binding unless executed in writing by the Buyer and the Seller. No waiver of any of the provisions of this Agreement will be deemed to be or will constitute a continuing waiver. No waiver will be binding unless executed in writing by the party making the waiver.
Complete Agreement; Amendment; Waiver. This Consulting Agreement is the complete agreement and understanding between the parties with respect to its subject matter and supersedes any prior understandings, agreements or representations, written or oral, which may relate to the subject matter hereof in any way. The provisions of this Consulting Agreement may be amended or waived only with the prior written consent of the Company, Consulting Company and Consultant, and no course of conduct or failure or delay in enforcing the provisions of this Consulting Agreement shall affect the validity, binding effect or enforceability of this Consulting Agreement.
Complete Agreement; Amendment; Waiver. This Agreement sets forth the entire understanding of the parties with respect to the subject matter hereof. This Agreement may only be amended by a written instrument which (i) has been executed by both of the parties hereto and (ii) specifically refers to the provision of this Agreement to be amended. Either party may at any time waive compliance by the other with any covenants of this Agreement but only by a written instrument which (i) has been executed by the party waiving such compliance and (ii) specifically refers to the provision of this Supply Agreement to be waived. No waiver of any right or remedy in respect of any occurrence or event on one occasion will be deemed a waiver of such right or remedy in respect of such occurrence or event on any subsequent occasion.
Complete Agreement; Amendment; Waiver. Each of the parties acknowledges ------------------------------------------ that it has reviewed this Agreement and understands its terms and conditions. This Agreement represents the complete understanding of the parties with respect to the matters set forth herein and supersedes any and all previous representations, statements, or promises, whether verbal or in writing. The parties specifically affirm the limitations in respect of warranties and remedies set forth herein and agree that no other warranties or promises have been made except the express warranties made herein. This Agreement may not be modified, altered, amended, or changed except by mutual agreement in writing. No failure by either party to insist upon strict performance of any term of this Agreement will act as a waiver of such party's right to insist upon strict performance of such term at a later time or to insist upon strict performance of any other term of this Agreement.

This Agreement constitutes the complete understanding of the parties with respect to the matters set forth herein and therein, and shall not be modified or amended except by a subsequently-dated instrument that has been executed by both parties. No waiver by either party of any default, misrepresentation, or breach of warranty or covenant hereunder, whether intentional or not, will be deemed to extend to any prior or subsequent default, misrepresentation, or breach of warranty or covenant hereunder or affect in any way any rights arising by virtue of any prior or subsequent such occurrence.
