Between the Parties. All correspondence between the parties, arising out of this Agreement or incidental thereto shall pass to and from the Administrator or his/her designate and the Secretary of the Union with a copy sent to the National Representative of the Union and the Director of Labour Relations of Extendicare or his/her designate. Correspondence may be conducted in either French or English.

Between the Parties. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY NOR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, INDEPENDENT CONTRACTORS OR AGENTS (INCLUDING RRD AND ITS MEMBERS, MANAGERS, EMPLOYEES, INDEPENDENT CONTRACTORS AND AGENTS) SHALL HAVE ANY LIABILITY OF ANY TYPE (INCLUDING, BUT NOT LIMITED TO, CLAIMS IN CONTRACT, NEGLIGENCE AND TORT LIABILITY) FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, THE LOSS OF OPPORTUNITY, LOSS OF USE OR LOSS OF REVENUE OR PROFIT IN CONNECTION WITH OR ARISING OUT OF THIS AGREEMENT OR THE SERVICES PERFORMED HEREUNDER, EVEN IF SUCH DAMAGES MAY HAVE BEEN FORESEEABLE. THE FOREGOING SHALL NOT LIMIT EITHER PARTY’S INDEMNIFICATION OBLIGATIONS PURSUANT TO SECTION 15.2 AND SHALL NOT APPLY TO BREACHES OF ITS CONFIDENTIALITY OBLIGATIONS PURSUANT TO ARTICLE 10.
Between the Parties. As between the Parties, this Agreement and any claim, controversy or dispute arising under or related to this Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its principles of conflict of laws. Jurisdiction and venue for any dispute between Vendor and HealthTrust concerning this Agreement shall rest exclusively within the state and federal courts of Davidson County, Tennessee. Each of Vendor and HealthTrust waives all defenses of lack of personal jurisdiction and forum non conveniens related thereto.
Between the Parties. In the event of a dispute between the Parties arising out of or related to the terms of this Agreement, either Party may request that the Parties engage in good faith discussions to resolve such dispute. Within [**Redacted**] calendar days of such request, each Party will appoint an appropriate representative to engage discussions to resolve the dispute in a mutually acceptable manner. Such representative will have a reasonable level of expertise in the subject matter of the dispute and possess the requisite authority to resolve the dispute. If such representatives are unable to resolve the dispute within [**Redacted**] calendar days, either Party may provide a written request to submit the dispute for discussions between Executive Officers appointed by the respective Chief Executive Officers of each Party. If the Executive Officers are unable to resolve the dispute within [**Redacted**] calendar days after referral, either Party may provide a written request to refer the dispute for arbitration.

Between the Parties. ANP and NPD has no legal or financial liability for damage or loss occurring in connection with the Project, such as damage or loss due to inexpert use of ANPs I NPDs equipment, faulty computer software or other factors comprised by the Project according to the present Agreement. Each of the parties shall keep the other party indemnified with regard to damage to own personnel and damage to or loss of own possessions, irrespective of whether the other party has contributed to the damage or loss.

Between the Parties. (a) The relationship between the Parties is one of independent contractor only. Nothing in this Agreement may be construed to constitute a relationship of agency or partnership between the Parties. (b) Neither Party is authorised to bind the other Party to any obligation. The Parties and their employees, agents and representatives must not engage in any conduct that may lead any person to believe that the Party is an employee, agent or representative of the other Party.‌ (c) A Party must not represent that the other Party: (i) participates in any way in the provision of the Party’s services, or is a supplier to the Party’s own customers, or that the Party is approved by, or is an agent or dealer of, or affiliated with, the other Party; or (ii) has a preferred relationship with the Party, including without limitation in respect of special prices or services.
Between the Parties. MDSPS shall perform its Services as an independent contractor and shall have complete and exclusive control over its employees and agents. The Services rendered by MDSPS are those of an independent contractor and not those of Sponsor. No Services rendered pursuant to this Agreement shall be construed to deem MDSPS an employee, agent or joint-venturer with Sponsor.
