Common use of Complete and Voluntary Agreement Clause in Contracts

Complete and Voluntary Agreement. This Agreement, together with Exhibit A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, and the Stock Option Agreements, constitute the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter. You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

Complete and Voluntary Agreement. This Agreement, together with Exhibit A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, hereto and the Stock Option Equity Agreements, constitute the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter, including but not limited to your Offer Letter and Severance and CIC Agreement. You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the this Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

You acknowledge that neither Releasees the Released Parties nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion. Further, you acknowledge that you have been represented by counsel with respect to this Agreement and that this is a negotiated agreement.

This Agreement, together with Exhibit A heretothe Consulting Agreement, the Arbitration Agreement you signed at the beginning of your employment with the Company, Release and the Stock Option Agreements, Confidentiality Agreement constitute the entire agreement between you and Releasees the Company with respect to the subject matter hereof and supersedes supersede all prior negotiations and agreements, whether written or oral, relating to such subject matter, including your CIC Severance Agreements, except as set forth herein. You acknowledge that neither Releasees the Company nor their its agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

This Agreement, together with Exhibit A heretothe Holdback Agreement (as modified by this Agreement), the Arbitration Agreement you signed at the beginning of your employment with the Company, and the Stock Option Agreements, the RSU Agreement and Exhibits A, B and C hereto, constitute the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter. You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

You acknowledge that neither Releasees the Released Parties nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion. Further, you acknowledge that you have been represented by counsel with respect to this Agreement and that this is a negotiated agreement.

You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

This Agreement, together with Exhibit A heretothe Consulting Agreement, the Arbitration Indemnification Agreement, Confidentiality Agreement you signed at the beginning of your employment with the Company, and the Stock Option Equity Incentive Agreements, constitute the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter. You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

Complete and Voluntary Agreement. This Agreement, together with Exhibit Exhibits A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, and B attached hereto and the Stock Option Equity Agreements, constitute the entire agreement between you and Releasees the Company with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject mattermatter (including, without limitation, the Employment Agreement). You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the this Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

This Agreement, together with Exhibit A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, Exhibits attached hereto and the Stock Option Equity Agreements, constitute the entire agreement between you and Releasees the Company with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject mattermatter (including, without limitation, the Employment Agreement). You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the this Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

Complete and Voluntary Agreement. This Agreement, together with Exhibit A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, and the Stock Option Agreements, constitute constitutes the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter; provided, however, nothing herein releases your surviving obligations under the Employee Inventions and Confidentiality Agreement. You acknowledge that neither none of the Releasees nor or any of their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion. You also represent and warrant that you have not assigned or transferred any claim or right released by this Agreement.

Complete and Voluntary Agreement. This Agreement, together with Exhibit A hereto, all exhibits attached hereto and any agreements between you and the Arbitration Agreement you signed at the beginning of Company concerning your employment with equity interests in the Company, and the Stock Option Agreements, constitute the entire agreement between you and Releasees the Company with respect to the subject matter hereof and supersedes all prior negotiations and agreements, whether written or oral, relating to such subject matter. You acknowledge that neither Releasees the Company nor their its agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.

Complete and Voluntary Agreement. This Agreement, together with Exhibit Exhibits A hereto, the Arbitration Agreement you signed at the beginning of your employment with the Company, through C hereto and the Stock Option Equity Agreements, constitute the entire agreement between you and Releasees with respect to the subject matter hereof and supersedes all prior negotiations and Terms of Transition, Separation and Consultancy agreements, whether written or oral, relating to such subject matter. You acknowledge that neither Releasees nor their agents or attorneys have made any promise, representation or warranty whatsoever, either express or implied, written or oral, which is not contained in this Agreement for the purpose of inducing you to execute the Agreement, and you acknowledge that you have executed this Agreement in reliance only upon such promises, representations and warranties as are contained herein, and that you are executing this Agreement voluntarily, free of any duress or coercion.
