Common use of Compliance by Seller Clause in Contracts

Compliance by Seller. Seller shall have complied with each and every covenant, undertaking and agreement to be kept or performed by Seller as provided in this Agreement; and each representation and warranty made in this Agreement by Seller shall remain true and accurate in all material respects both at the time made and on the Closing Date.

Compliance by Seller. Seller shall have complied in all respects with each and every covenant, undertaking material covenant and agreement condition of this Agreement to be kept or performed complied with by Seller as provided in this Agreement; and each representation and warranty made in this Agreement by Seller shall remain true and accurate in all material respects both at the time made and on the Closing DateSeller.

Seller shall have complied with each and every covenant, undertaking and agreement to be kept or duly performed by Seller as provided in this Agreement; and each representation and warranty made in this Agreement by Seller shall remain true and accurate in all material respects both at all of the time made covenants, agreements, and conditions contained in this Agreement respectively to be performed by it on or prior to the Closing Date, and Purchaser shall have received a certificate, dated as of the Closing Date, executed by an authorized officer of Seller to such effect.
