Common use of Compliance with Applicable Law and Material Contracts Clause in Contracts

Compliance with Applicable Law and Material Contracts. Comply, and Borrower shall cause each Material Subsidiary to comply, with (a) all Applicable Laws (including, without limitation, ERISA, Environmental Laws, and the Investment Company Act), including the obtaining of all Governmental Approvals, the failure with which to comply could have a Material Adverse Effect, and (b) all material terms and conditions of all Material Contracts to which it is a party.
