Compliance with Certification Standards and Adoption of Standards Policies. Company must become and remain in “Good Standing” as a condition to the continued validity of the licenses granted by GS1 GDSN to Company under this Agreement. As used in this Agreement, a Company shall be in Good Standing if it has fulfilled all Company commitments as required by this Agreement, including but not limited to the commitments set forth in this Paragraph 3. Failure to maintain Good Standing status shall constitute a material breach of this Agreement and shall be grounds for termination of this Agreement in accordance with Paragraph 6.
