Compliance with Contractual Obligations and Requirements of Law. Comply with Contractual Obligations and Requirements of Laws, unless failure to comply with such Contractual Obligations or Requirements of Law could not (either individually or in the aggregate) reasonably be expected to have a Material Adverse Effect. The Parent will maintain in effect and enforce policies and procedures designed to facilitate compliance in all material respects by the Parent, Holdings, Borrower, their Subsidiaries and their respective directors and officers with Anti-Corruption Laws and applicable Sanctions.
