Compliance with Covenants and Conditions. The Purchaser and Newco shall each have performed and complied in all material respects with each and every covenant, agreement and condition required by this Agreement to be performed or satisfied by them at or prior to the Closing Date. The Purchaser and Newco shall each deliver to the Sellers a certificate, dated the Closing Date, certifying that each of them has fully performed and complied in all material respects with all the duties, obligations and conditions required by this Agreement to be performed and complied with by it at or prior to the Closing Date.
