To the best knowledge of the Municipality, the authorization, execution and delivery of this Loan Agreement by the Municipality, and the performance by the Municipality of its duties, covenants, obligations and agreements thereunder will not result in any breach of any existing law, any Outstanding Utility Indebtedness, or any other agreement to which the Municipality is a party.
