Compliance with HSRA. Buyer and Sellers shall make or cause to be made in a timely fashion all filings which are required in connection with the transactions contemplated hereby under the HSRA, and shall furnish to the other party all information that the other reasonably requests in connection with such filings.

Each party shall otherwise bear its own costs and expenses (including the fees and disbursements of its counsel) in connection with the preparation of any HSRA filing to be prepared by it and in connection with the prosecution and defense of that filing; provided however, that Seller shall reimburse Buyer for all reasonable attorneys' fees and expenses incurred in responding on behalf of Buyer to any inquiry from the Federal Trade Commission or the Antitrust Division of the Department of Justice.
