Compliance with Investment Policies. Borrower shall comply with its Investment Policies in all material respects at all times. Borrower shall furnish to Lender, prior to its effective date, prompt notice of any changes in the Investment Policies and shall not agree to or otherwise permit to occur any modification of the Investment Policies in any manner that (i) could reasonably be expected to adversely affect the rights and remedies of Lender under any Facility Document or (ii) otherwise fails to comply with the terms of this Agreement.
