Common use of Compliance with Laws and Documents Clause in Contracts

Compliance with Laws and Documents. No Company may directly or ---------------------------------- indirectly (a) violate the provisions of any Laws applicable to it or of any Material Agreement to which it is a party if that violation alone or with all other violations is a Material-Adverse Event or (b) violate the provisions of its charter or bylaws or repeal, replace or amend any provision of its charter or bylaws if any such action is a Material-Adverse Event.
