Compliance with Laws and Material Contracts. Shareholder hereby agrees to comply with (i) the requirements of all laws and all orders, writs, injunctions and decrees applicable to it or to its business or property and (ii) its reporting obligations with respect to the Shares and the other transaction documents related to the offering under Sections 13 and 16 of the Exchange Act and applicable securities laws of any other jurisdiction, including any required filings with the United States Securities and Exchange Commission, except where any failure to comply with such requirements or obligations could not reasonably be expected to have a Material Adverse Effect.
