Compliance with Laws and Orders. Seller has not at any time within the last twelve (12) months, received any notice of a violation of or in default under any Law, assigned License or Order. In the event that Seller fails to comply with any of the requirements of Article V, Buyer, in its sole discretion, shall be entitled to terminate the Purchase Agreement and all other agreements relating thereto.
