Common use of Compliance with Spinco Assets Transfer Documents Clause in Contracts

Compliance with Spinco Assets Transfer Documents. Parent, Spinco and their respective Subsidiaries shall comply with all covenants and obligations set forth in the Spinco Assets Transfer Documents, and, provided all necessary approvals are obtained from relevant Governmental Authorities, no later than August 31, 2012 (or, if all such approvals are not obtained on or prior to August 31, 2012, as promptly thereafter as practicable), Parent and its Subsidiaries will transfer all of the Additional Spectrum Assets and the Other Assets to Spinco or one or more Subsidiaries of Spinco free and clear of any and all Liens (other than any Permitted Lien).
