Common use of Compliance with U.S. Export Control Laws Clause in Contracts

Compliance with U.S. Export Control Laws. (a) Seller shall comply with all applicable laws and regulations regarding export-controlled items and technology, including but not limited to the International Traffic in Arms Regulations, the Export Administration Regulations, and the Canadian Controlled Goods Regulations. For any Seller providing a non-Buyer designed part, component, accessory, attachment or software to Buyer, the Seller shall provide a completed GDLS-C 0586 Supplier Technical Data Questionnaire (TDQ) for each individual item. The Seller shall submit to the Buyer’s Authorized Procurement Representative via electronic mail. The TDQ may be found at _xxx.xxxxxxxxxx.xxx/xxxxxxxxx/xxxxxxx-xxxxxxxxx. (b) Seller shall indemnify Buyer for all liabilities, losses, penalties, damages, costs, or expenses that may be imposed on or incurred by Buyer in connection with any violations of export or import laws and regulations by Seller or by Seller’s officers, employees, agents, or subcontractors.

(c) For routed transactions and without limiting the generality of the foregoing, Buyer hereby authorizes Seller to act as the exporter and forwarding agent for items being exported from the United States from Seller to Buyer. Seller is required to prepare and submit the Electronic Export Information and to facilitate the export of items from the United States.
