Launch Services. Purchaser shall be responsible for furnishing Launch Services for the Satellite and Purchaser shall no later than twelve (12) months prior to Delivery of the Satellite, notify Contractor of its selection of the Launch Vehicle for the Launch of the Satellite. The Launch Vehicle shall be one of the candidate Launch Vehicles identified in Paragraph 2.1 (Launch Requirements) of Exhibit B, Satellite Performance Specification, and the Launch Date shall be compatible with the Satellite Delivery schedule set forth in Article 3.1 hereof.
Launch Services. For launch services contact the customer’s agent.
Launch Services. Contractor shall provide Launch Services for [***…***] dedicated Launches of Satellite Batches (“Firm Launch(es)”) and up to an additional [***…***] dedicated Launches of Satellite Batches, if so exercised by Customer (“Additional Launch(es)”), in accordance with this Section 2.1 and the Statement of Work.
2.1.1 If any Launch Service is not a Launch Success, Customer may exercise Additional Launch(es) (on a per Launch Service basis) at anytime up to the end of the Launch Campaign Period plus [***…***] Days. Such Additional Launch(es) will be performed by Contractor within [***…***] months of Customer’s exercise of an Additional Launch, subject to available Launch Opportunities. The Launch Service Price, Milestones and Milestone Payments for such Additional Launch(es) under this Section 2.1.1 shall be the same Launch Service Price, Milestone and Milestone Payments as set forth for the first Firm Launch Service in accordance with Exhibit C.
2.1.2 Customer may reserve the right to procure up to [***…***] Additional Launches, if any Satellite or Satellite Batch(es) experience a loss or failure following Launch for reasons other than a Launch Failure. In order to reserve such Additional Launches, Customer must pay a reservation fee of [***…***] US Dollars (US $[***…***]) no later than [***…***] months after EDC. The Additional Launches may be exercised by Customer at anytime up to the end of the Launch Campaign Period plus [***…***] Days. Such Additional Launch(es) will be performed by Contractor within [***…***] months (or such longer period as mutually agreed by Customer and Contractor) of Customer’s exercise of an Additional Launch, subject to available Launch Opportunities. If exercised, the pricing for such Additional Launch(es) shall be in accordance with Exhibit E. If Customer does not exercise an Additional Launch pursuant to this Section 2.1.2, the reservation fee paid for such Additional Launch to Contractor will be refunded to Customer within [***…***] Days of Customer’s notice of such effect.
Launch Services. Associated Services ordered by CUSTOMER as set forth in this Agreement, and as defined in Paragraph 1 (“General Range Support”) and Paragraph 2 (“Options Ordered by the CUSTOMER”) of Part 5 of Annex 1 to this Agreement, in accordance with the conditions as specified therein.
Launch Services. The Contractor shall acquire the designated launch vehicles and services that are fully compatible for the first two spacecraft ordered thatmeet all of the requirements of the Contract. These launch services shall include launch site operations planning and processing, planning, flight operations up to and including spacecraft separation from the Launch Vehicle and post flight operations. The Contractor shall transport these two (2) Spacecraft to the Designated Launch Site, and the transportation shall include loading, offloading, the use of suitable shipping containers, and transit insurance. The Contractor will contract directly with the Designated Launch Agency for Launch Support Services and will coordinate all matters relating to launch operations. XM shall be notified of and have access to all technical discussions and meetings with the Designated Launch Agency. Launch Services. To the extent required by the launch services provider for launch services provided in connection with the launch of any satellite(s) contemplated by this Agreement, CUSTOMER shall have no right of action against the launch services contractor, other third party customers of the launch services contractor or their respective associates, for any loss or damage including, but not limited to, damage for bodily harm (including death) and damage to property suffered by CUSTOMER resulting from the performance of the launch services agreement by such parties. CUSTOMER further irrevocably agrees to a no-fault, no subrogation waiver of liability, and waives the right to make any claim or to instigate any judicial proceeding in connection with such claim, against the launch services contractor or their associates, in each case for any such damage suffered by CUSTOMER resulting from the performance of the launch services agreement by such parties. In the event that one or more associates of CUSTOMER (in their capacities as such) shall proceed against the launch services contractor, the third party customers or their associates as a result of any such damage suffered by CUSTOMER and caused by the launch services contractor, the third party customers or their associates resulting from the performance of the launch services agreement by such parties, CUSTOMER shall indemnify, hold harmless, dispose of any such claim and defend, when not contrary to the governing rules of procedures where the action takes place, the launch services contractor, such third party customers and their associates from any loss, damage, liability or expense, including reasonable attorney's fees, on account of such damage, injury or death, and shall pay all expenses and satisfy all judgments that may be incurred by or rendered against said indemnities in connection with such proceeding. Launch Services. Purchaser shall be responsible for obtaining Launch Services for Launch of the Satellite. Contractor shall provide (in addition to Launch Support Services), within the Firm Fixed Price, engineering, Launch Vehicle integration activities, and other customary services to maintain compatibility of the Satellite for Launch (including but not limited to environmental analysis, mission planning, and Launch Vehicle electrical and mechanical interfaces) (collectively, “Integration Activities”) with the list of Candidate Launch Vehicles up to [***] prior to the scheduled Delivery date of the Satellite set forth in Article 3.1. On or before [***] prior to the then-currently scheduled Delivery date of the Satellite set forth in Article 3.1 (the “[***]”), Purchaser shall provide a written notification to Contractor of [***] Launch Vehicles that may be used for such Satellite, provided that, if Purchaser notifies Contractor of the [***] Launch Vehicles prior to the last day of the [***], Purchaser reserves the right to change such selection up to and including the last day of the [***] without impact to the Contract price or schedule. Provided that Purchaser has made the necessary arrangements with the potential Launch Agencies to reasonably support Contractor’s Integration Activities, Contractor shall perform dual Integration Activities up through [***] prior to the then-currently scheduled Delivery date of the Satellite, at which time Purchaser shall designate its final Launch Vehicle selection (“Selected Launch Vehicle”). Failure to notify Contractor of its Launch Vehicle selection(s) within [***] after written notice from Contractor on or after the applicable date(s) set forth in this paragraph shall be a Purchaser delay of Work subject to Article 18. In the event that Purchaser subsequently changes its Launch Vehicle selection, it shall be considered a change subject to Article 16.
Launch Services. (a) BASELINE LAUNCH VEHICLE. The baseline Launch Vehicle for the first and second Satellites to be Delivered pursuant to this Contract shall be the Sea Launch Launch Vehicle.
Launch Services. 7.1 Atlas, Sea-Launch and Proton Launch Services. Subject to the provisions set forth below, the Contractor and the Purchaser agree that Launch services under this Contract shall consist of three (3) Launches ("Launch Services") and shall be provided on two (2) Proton Launch Vehicles and an Atlas IIIA Launch Vehicle. The Contractor agrees that FM-1 and FM-2 shall be Launched on Proton Launch Vehicles and, subject to the provisions set forth below, that FM-3 shall be Launched on an Atlas IIIA Launch Vehicle.
Launch Services. The following services are provided: • Sea Launch shall encapsulate the INMARSAT 4 SC in the launch vehicle payload fairing in the PPF. Sea Launch shall transfer the encapsulated SC from the PPF to the ACS. • Sea Launch shall integrate the encapsulated SC with the LV. • Sea Launch shall perform testing of the Integrated Launch Vehicle (ILV). • Sea Launch shall transfer the ILV from the ACS to the LP. • Sea Launch shall transport the ACS and LP from Home Port to the launch site and return to Home Port for the purpose of conducting the Launch. • Sea Launch shall conduct the launch of the SC during the launch window specified in the ICD. • Sea Launch shall coordinate special services such as launch events, VIP charter services to the launch site, and third party communications. Sea Launch and Inmarsat shall agree upon specific requirements, logistics, participation, and costs in advance, on a case-by-case basis.
