Composition of the Board of Directors. (a) At and after the Closing, the Board of Directors of the Company shall consist of nine directors (subject to the right to increase the Board of Directors pursuant to Section 4.01(b)(iii)). Three members of the Board of Directors shall initially be designated by the Purchaser (the "Investor Directors"). Six members of the Board (the "Non-Investor Directors") shall initially be designated by the Company, subject to the conditions set forth in Section 9.03(l), and shall include the chief executive officer of the Company. So long as Purchaser shall have the right to nominate at least two directors pursuant to clause (i) below, Purchaser shall be entitled to designate the Chairman of the Board of Directors, provided that the Chairman of the Board, if designated by Purchaser, shall be an Investor Director.
