Condemnation by the County. The County agrees that, to the extent permitted by law, in the event it brings an eminent domain or condemnation proceeding with respect to all or any portion of the Leased Property, the value of the condemned portion of the Leased Property shall be not less than the greater of (a) if the Certificates are then subject to redemption under the Indenture, the redemption price of the Certificates that are attributable to the condemned property or (b) if the Certificates are not then subject to redemption, the amount necessary to defease the Certificates attributable to the condemned property to the first date on which the Certificates are subject to redemption under the Indenture.

Condemnation by the County. The County covenants and agrees, to the extent it may lawfully do so, that so long as any of the Base Rental Payments remain unpaid, the County will not exercise the power of condemnation with respect to the leased property. The County further covenants and agrees, to the extent it may lawfully do so, that if for any reason the foregoing covenant is determined to be unenforceable or if the County should fail or refuse to abide by such covenant and condemns the leased property, the appraised value of the leased property shall not be less than the principal and interest components of the Base Rental Payments.
