Condition and Compliance. PGE and Target warrant and represent that all of the Option Assets: (A) comply with, and are operated in accordance with, all material applicable laws, (B) that the Option Assets are in good operating condition and repair, free from latent and patent defects and adequate for the uses to which they are being put, and (C) that none of the Option Assets is in need of maintenance or repair, except for ordinary, routine maintenance and repairs that are not material in nature or cost.
