Condition Precedent; Survival. The truth, accuracy and completeness in all material respects of each of the representations and warranties of Seller as of the Closing Date shall constitute a condition precedent to the obligations of Purchaser hereunder. Each such representation and warranty shall survive the closing for a period of one (1) year (the “Survival Period”); provided, however, that (a) if prior to the closing Purchaser obtains actual knowledge of any facts which are inconsistent with any such representation or warranty, such representation or warranty shall not survive the closing and Purchaser shall not be entitled to make any claim thereunder and (b) any specific claim set forth in any written notice of an action with respect to any misrepresentation delivered to Seller prior to the expiration of the Survival Period shall survive the expiration of the Survival Period.
