(f) An original (or a duplicate copy certified by the Company in a manner satisfactory to the Administrative Agent to be a true copy) of the application filed by the Company for the PSC Order and of each governmental action and regulatory approval (including, without limitation, the PSC Order and approvals or orders of the Issuer and the PSC) necessary for the Company to enter into this Agreement, the Letters of Credit and the Custodian Agreement and for the transactions contemplated hereby and thereby. (g) A certificate of the Secretary or an Assistant Secretary of the Company certifying the names and true signatures of the officers of the Company authorized to sign this Agreement and the other documents to be delivered by it hereunder. (h) A letter from Xxxxxxx and Xxxxxx, Bond Counsel, addressed to the Banks and stating therein that the Banks may rely on the opinions of such firm delivered in connection with the transactions contemplated hereby.
