CONDITION PRECEDENT TO THE FIRST LOAN. The obligations of each Bank to participate in the first Loan are subject to the further condition precedent that the Agent has notified the Banks that it has received confirmation from the Company that the proceeds of the first Loan will be utilised in repaying or prepaying the Existng Facilities in whole and that all commitments under the Existing Facilities have been, or will be, cancelled in full on or before the first Drawdown Date.
