Upon satisfaction of the conditions precedent set forth in Section 5.1, this Agreement shall exclusively control and govern the mutual rights and obligations of the parties hereto with respect to the Existing Facilities, and the Existing Facilities shall be superseded by this Agreement in all respects, in each case, on a prospective basis only.
Notwithstanding the existence of any Dispute, the City and Project Co will, to the extent not precluded by the matter in Dispute, continue with the Project, the Existing Facilities O&M and the O&M, as the case may be, and the performance of their respective obligations under this Agreement (including the City’s obligation to make Monthly Payments to Project Co) without prejudice to the right to contest, dispute and challenge the relevant matter in accordance with the provisions of this Agreement.
The City of San Diego conducted an environmental review that determined the project would not have the potential for causing a significant effect on the environment pursuant to State CEQA Guidelines Section(s) 15301 (Existing Facilities) which consists of the operation, repair, maintenance, permitting, leasing, licensing, or minor alteration of existing public or private structures, facilities, mechanical equipment, or topographical features, involving negligible or no expansion of existing or former use.
