CONDITION PRECEDENT TO THE INITIAL EXTENSION OF CREDIT. The obligation of each Lender or Issuing Bank, as the case may be, to make its initial Extension of Credit is subject to the fulfillment of the following condition precedent: the Administrative Agent shall have received, on or before the day of the initial Extension of Credit, in form and substance satisfactory to it, a certificate, executed by a duly authorized officer of the Borrower, confirming that attached thereto is a true, correct and complete copy of the credit agreements and other instruments evidencing the refinancing and/or replacement of Consumer's existing $300,000,000 senior credit facilities (such refinancing and/or replacement, as amended, restated, refunded, replaced, supplemented or otherwise modified from time to time being the "CONSUMERS CREDIT FACILITY"), as in effect on the date of such certificate.
