CONDITION TO REDEMPTION. As a condition to the consummation of the Redemption, Company and Maxtor shall have determined that all of the conditions in Article VII of the Merger Agreement to the obligation of Company and Spinco to effect the Merger have been, or will be immediately after the Redemption, satisfied, so that the Merger can be effected immediately following the Redemption.
CONDITION TO REDEMPTION. The Company’s obligation to consummate the redemption contemplated by this Section 3.8 is contingent upon (i) ▇▇▇▇▇▇▇▇ entering into the Escrow Agreement (as defined in the Purchase Agreement), (ii) ▇▇▇▇▇▇▇▇ depositing his Common Units into escrow pursuant to Section 3.9 hereof.
