Common use of Conditions and Covenants Clause in Contracts

Conditions and Covenants. On or prior to the Closing Date, Seller shall have performed or satisfied all covenants, agreements and conditions to be performed or satisfied on or prior to the Closing Date by Seller hereunder, and Seller shall have delivered to Buyer a certificate to that effect dated the Closing Date and signed by the President and the Secretary of Seller.
