Conditions of Credit Extension under Delayed Draw Sub-facility. The obligation of each U.S. Sub-facility Lender with a Term A Loan Commitment to make its Term A Loan under the Delayed Draw Sub-facility is subject to satisfaction of the following conditions precedent (and to the extent applicable, each of which shall be originals or telecopies (followed promptly by originals) unless otherwise specified, each properly executed by a Responsible Officer of the signing Loan Party (or, in the case of a Loan Party incorporated under the Laws of Australia, by two directors, a director and a secretary, or an attorney appointed by such Loan Party), each dated the Delayed Draw Borrowing Date (or, in the case of certificates of governmental officials, a recent date before the Delayed Draw Borrowing Date) and each in form and substance satisfactory to each Agent and each of the Lenders):
