Conditions of Effectiveness and Initial Credit Extension. The effectiveness of this Agreement and the obligation of the L/C Issuer and each Lender to make its initial Credit Extension hereunder is subject to satisfaction or waiver of the following conditions precedent:

Conditions of Effectiveness and Initial Credit Extension. Section 11.13 of the Existing Credit Agreement shall be amended to read in its entirety as set forth in Section 11.13 of this Agreement upon the execution and delivery to the Administrative Agent of this Agreement by the Borrower and the Required Lenders under (and as defined in) the Existing Credit Agreement. The remainder of this Agreement shall become (and be deemed to have become) effective to amend and restate the Existing Credit Agreement in its entirety, immediately after the amendment to Section 11.13 on the terms set forth in the preceding sentence, and the obligation of each L/C Issuer and each Lender to make its initial Credit Extension hereunder shall in each case be subject to satisfaction of the following conditions precedent:
