Conditions of Obligations of PJC and the Investor to Close. The obligations of each of PJC and the Investor to consummate the Transactions to which it is a party shall be subject to the satisfaction, on or prior to the closing of the relevant Transaction, of the following conditions, all in form and substance satisfactory to PJC, any of which may be waived, in writing, by PJC:
