Good Standing; etc. PJC shall have received (a) a certificate of good standing with respect to Emergent and each of its Subsidiaries dated on or about the Closing Date, issued by the applicable Governmental Authority and (b) any other document or instrument as PJC or its representatives may reasonably request.
Good Standing; etc. The Administrative Agent shall have received a long-form certificate of the Secretary of State of the respective jurisdictions of formation of each of the Borrower and each other member of the Borrower Affiliated Group as to each of the Borrower's and such other member of the Borrower Affiliated Group's legal existence and good standing in such state and listing all documents on file in the office of said Secretary of State. The Administrative Agent shall also have received copies of certificates of qualification to do business from any jurisdictions in which any of the Borrower or any other member of the Borrower Affiliated Group is required to be qualified, except in such jurisdictions where the failure to be so qualified could not reasonably be expected to have a Material Adverse Effect.
Good Standing; etc. The Lender shall have received a certificate of good standing for each Borrower certified by the Secretary of State, or other appropriate Governmental Authority, of the state of incorporation for such Borrower. The Lender shall have received a Certificate of Qualification to do business for each Borrower certified by the Secretary of State or other Governmental Authority of each state in which such Borrower conducts business.
Good Standing; etc. Debtor is a corporation, validly existing under the laws of the State of Delaware. Debtor has the requisite power and all necessary governmental authority to conduct its business as currently being conducted. Debtor's taxpayer identification number is, and chief executive office, principal place of business, and the place where Debtor maintains its records concerning the Collateral are set forth on the signature page hereof.
Good Standing; etc. The Agent shall have received a long-form certificate of the Secretary of State of the state of Wisconsin and the Ministry of Consumer and Commercial Relations, Ontario as to the Borrowers' legal existence and good standing in such state or province and listing all documents on file in the offices of said Secretaries of State or Ministry. The Agent shall also have received certificates of qualification to do business from any jurisdictions in which any of the Borrowers or Holdings is required to be qualified and a doing business filing for the Borrowers (including each of USL's divisions), to the extent such doing business filings are made by the Borrowers, from the appropriate jurisdictions. The Agent shall have received a long-form certificate of the appropriate Secretary of State or other Governmental Body evidencing legal existence and good standing of Holdings, including a listing of all documents on file in said office.

Good Standing; etc. To the extent available from the applicable jurisdictions, the Lender shall have received a certificate of good standing for each of the Borrowers which are domestic corporations certified by the Secretary of State, or other appropriate Governmental Authority, of the state of incorporation for each of such Borrowers. To the extent available from the applicable jurisdictions, the Lender shall have received a Certificate of Qualification to do business for each of the Borrowers who are domestic corporations certified by the Secretary of State or other Governmental Authority of each state in which each of such Borrowers conducts business.
