Conditions of Obligations of Seller and SDI. The obligations of Seller to consummate the sale and purchase under this Agreement are subject to the satisfaction of the following conditions, each of which may be waived in writing by Seller: A. Representations and Warranties: Performance of Obligations. The representations and warranties of Purchaser set forth in Section 3.2 hereof shall have been and be true and correct in all material respects on and as of the date of this Agreement and as of the Closing Date as though made on and as of the Closing Date. Purchaser shall have performed in all material respects the covenants, agreements and obligations necessary to be performed by it under this Agreement prior to the Closing Date and such other matters that Seller may reasonably request.
