Conditions Precedent for Business Closing by Buyer. Without prejudice to the satisfaction of the conditions precedent set forth in Section 8.1 above, on the Business Closing Date, Buyer shall acquire all of the Novita Shares and pay the Preliminary Novita Shares Purchase Price, provided that the following conditions precedent have been satisfied, or waived by Buyer, in accordance with Section 8.2.11, on or before the Business Closing Date (the “Conditions Precedent to Business Closing for Buyer”):
