Conditions Precedent to Closing by Carrara and Subco. The obligation of Carrara and Subco to consummate the transactions contemplated by this Agreement is subject to the satisfaction or written waiver of the conditions set forth below by a date mutually agreed upon by the Parties in writing. The Closing of the Amalgamation contemplated by this Agreement shall be deemed to mean a waiver of all conditions to Closing. These conditions precedent are for the benefit of Carrara and Subco and may be waived by Carrara and Subco in their sole discretion.
