Conditions Precedent to Closing for Chlormet. The obligation of Chlormet to consummate the Transaction is subject to the satisfaction or waiver of the conditions set forth below. The Closing of the Transaction contemplated by this Agreement will be deemed to mean the satisfaction or waiver of all conditions to Closing. These conditions to Closing are for the benefit of Chlormet and may be waived by Chlormet in its sole discretion.
